PCAOB Inspection

The Public Company Accounting Oversight Board (also known as the PCAOB) is a private-sector, nonprofit corporation created by the Sarbanes-Oxley Act of 2002 to oversee accounting professionals who provide independent audit reports for publicly traded companies. When Congress created the PCAOB, it gave the SEC the authority to oversee the PCAOB's operations. PCAOB inspects the registered firms periodically at least in every three years.
Also, according to Nasdaq’s proposed changes to the Listing rules, when PCAOB cannot inspect a company’s auditor, Nasdaq may use its discretionary authority to obtain comfort that the company satisfies the financial listing requirement and is suitable for listing.
